National insolvency laws provide treatmentand remedy to the issues arising out of thecorporate restructuring drives within thejurisdictions of the national laws. This excludesthe remedy to the cross-border corporaterestructuring exercises especially when there isone or more companies are subjects of foreignlaws giving no exclusive authority to anyparticular country-laws. As a remedy, TheUnited Nations Commission on InternationalTrade Law (UNCITRAL) has come with theModel Law for the cross border mergers &acquisitions exercise. This paper caries out ananalytical study of the UNICITRAL Model Law.
