Description Corporate governance has gained unparalleled importance in Bangladesh. An effective corporate governance system presupposes the protection of minority shareholders of companies. The Companies Act, 1994 which was enacted with one of its main objective as protection of minority shareholders has failed to provide expected security and remedy to the minority shareholders against oppression. These shareholders’ rights are still insufficient, given the importance of good corporate governance and reliable shareholders’ remedies in promoting investment and prosperity. The purpose of this research paper is to investigate the barriers and issues hindering the protection of those shareholders. Finally, the paper urges to adopt some more viable minority shareholders’ remedies by proposing some recommendations.
